Terms of Service

These Terms of Service ("Terms") govern your access to and use of MeritsOnly ("Platform", "Service"), a product of NBN Ventures, a company registered in Bangalore, Karnataka, India. By creating an account or using any part of the Service, you agree to be bound by these Terms.
If you are using MeritsOnly on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.
1. Service Description
MeritsOnly is a lead generation software-as-a-service (SaaS) platform that enables local businesses to capture, manage, and convert leads through embeddable widgets, popup forms, and direct link sharing. The Service includes:
- Customizable lead generation widgets tailored to specific business niches.
- A secure customer portal for viewing, managing, and exporting captured leads.
- Lead encryption, qualification scoring, and notification systems.
- Analytics dashboards and CSV data export functionality.
- Integration options including webhooks and API access (on supported plans).
2. Account Registration
- You must provide accurate and complete information during registration.
- You are responsible for maintaining the confidentiality of your account credentials.
- You must be at least 18 years old to create an account.
- One person or legal entity may not maintain more than one free trial account.
- You are responsible for all activities that occur under your account.
- You must notify us immediately at support@meritsonly.com if you suspect unauthorized access to your account.
3. Communications & Notifications Consent
By creating an account on MeritsOnly, you may receive communications from us through the following channels:
- Email: Account notifications, lead alerts, billing updates, product announcements, onboarding tips, and promotional offers.
- WhatsApp: Lead notifications, customer support communications, and service updates sent to the WhatsApp number associated with your account.
SMS / Text Messaging Consent
During account registration, you will be presented with a separate SMS consent checkbox. By checking that box, you explicitly opt in and agree to receive SMS text messages from MeritsOnly at the mobile phone number you provide. SMS consent is collected separately from your agreement to these Terms of Service.
Types of SMS messages you may receive:
- Lead notification alerts when new leads are captured through your widget.
- Account security alerts (e.g., login from a new device, password changes).
- Important service updates and platform announcements.
Important information about SMS messaging:
- Message frequency varies based on your account activity (e.g., number of leads captured).
- Message and data rates may apply depending on your mobile carrier and plan.
- You can opt out of SMS messages at any time by replying STOP to any message. You will receive a one-time confirmation message and no further SMS messages will be sent.
- Reply HELP for assistance, or contact support@meritsonly.com.
- Your consent to receive SMS messages is not a condition of purchasing or using MeritsOnly. You may use the platform without SMS notifications.
- We will not sell, share, or rent your phone number or SMS opt-in data to any third parties for their marketing purposes.
- SMS messages are delivered through Twilio, our third-party messaging provider.
Other Communication Preferences
- You may opt out of promotional emails at any time by clicking the "Unsubscribe" link in any email, or by updating your notification preferences in the customer portal.
- You may opt out of WhatsApp messages by sending "STOP" in the WhatsApp conversation or by removing your WhatsApp number from your account settings.
- Opting out of transactional messages (e.g., security alerts, billing confirmations) is not available as these are essential to the operation of your account.

4. Free Trial
New accounts receive a 14-day free trial with access to core features. During the trial period:
- No credit card is required to start the trial.
- Your account will be subject to trial-tier usage limits.
- At the end of the trial, you may upgrade to a paid plan to continue using the Service.
- If you do not upgrade, your account will be deactivated but your data will be retained for 90 days.
5. Billing & Payments
- Paid plans are billed on a monthly or annual subscription basis, as selected at the time of purchase.
- All prices are listed in US Dollars (USD) unless otherwise stated.
- Payments are processed through our third-party payment processor. We do not store your full credit card details on our servers.
- Subscriptions automatically renew at the end of each billing cycle unless canceled before the renewal date.
- We reserve the right to modify pricing with 30 days' prior notice to active subscribers.
6. Refund Policy
If you are dissatisfied with the Service, you may request a refund within 7 days of your initial paid subscription purchase. Refund requests after 7 days or for renewal charges will be evaluated on a case-by-case basis. Contact support@meritsonly.com to request a refund.
7. Acceptable Use
You agree not to use MeritsOnly for any purpose that is unlawful or prohibited by these Terms. Specifically, you must not:
- Use the Service to collect personal information without proper consent or in violation of applicable privacy laws.
- Submit, store, or transmit any content that is defamatory, obscene, fraudulent, or infringing on third-party rights.
- Use the widgets to distribute spam, phishing content, or malware.
- Attempt to reverse-engineer, decompile, or extract source code from the Platform.
- Use automated tools (bots, scrapers) to access the Service in a manner that exceeds normal usage.
- Resell, sublicense, or redistribute access to the Service without written authorization.
- Interfere with or disrupt the integrity or performance of the Platform or its infrastructure.
8. Lead Data Ownership
- Leads captured through your widgets belong to you. MeritsOnly acts as a data processor on your behalf.
- You are responsible for complying with applicable data protection laws when collecting and processing lead data.
- You must ensure that your website or landing page includes appropriate privacy disclosures and consent mechanisms for end users submitting data through our widgets.
- MeritsOnly does not use your lead data for any purpose other than providing the Service to you.
- You may export or delete your lead data at any time through the customer portal.
9. Intellectual Property
All rights, title, and interest in the MeritsOnly platform, including but not limited to software, design, logos, trademarks, documentation, and content created by NBN Ventures, are and remain our exclusive property.
- We grant you a limited, non-exclusive, non-transferable license to use the Service during your active subscription.
- You retain ownership of all content and data you submit to the platform.
- The "MeritsOnly" name, logo, and branding may not be used without prior written consent except as part of standard widget display on supported plans.
10. Service Availability & Modifications
- We strive to maintain high uptime and reliability, but do not guarantee uninterrupted or error-free operation.
- We may perform scheduled maintenance with reasonable advance notice.
- We reserve the right to modify, suspend, or discontinue any feature of the Service at any time.
- Material changes to the Service that negatively impact your use will be communicated with at least 30 days' notice.
11. Limitation of Liability
To the maximum extent permitted by applicable law:
- MeritsOnly and NBN Ventures shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service.
- Our total liability for any claim related to the Service shall not exceed the amount paid by you in the 12 months preceding the claim.
- We are not liable for any loss of leads, data, or business opportunities resulting from service interruptions, technical failures, or third-party actions beyond our reasonable control.
12. Indemnification
You agree to indemnify and hold harmless NBN Ventures, its officers, employees, and agents from any claims, damages, losses, or expenses (including reasonable legal fees) arising from your use of the Service, your violation of these Terms, or your violation of any rights of a third party.
13. Termination
- You may cancel your subscription and close your account at any time through the customer portal or by contacting support.
- We may suspend or terminate your account if you violate these Terms, engage in fraudulent activity, or fail to pay applicable fees.
- Upon termination, your right to use the Service ceases immediately.
- We will retain your data for 90 days after account closure, after which it will be permanently deleted.
- You may request a data export before account closure.
14. Dispute Resolution
In the event of any dispute arising from these Terms or the Service, both parties agree to first attempt resolution through good-faith negotiation. If a dispute cannot be resolved within 30 days, it shall be submitted to binding arbitration in Bangalore, Karnataka, India, under the Arbitration and Conciliation Act, 1996.
15. Governing Law
These Terms shall be governed by and construed in accordance with the laws of India, including the Indian Contract Act, 1872 and the Information Technology Act, 2000. Any legal proceedings shall be subject to the exclusive jurisdiction of the courts in Bangalore, Karnataka, India.
16. Changes to These Terms
We may revise these Terms from time to time. When we make material changes, we will notify registered users via email and update the "Last updated" date. Your continued use of the Service after the revised Terms take effect constitutes your acceptance of the changes.
17. Severability
If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
